These Terms of Service (“Terms”) govern your access to and use of the Walley wallet application and related services (“Service”) provided by Walley (“Walley,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Last Updated: February 27, 2026

1. Eligibility and Authorized Use

To use the Service, you must be legally capable of forming a binding agreement in your jurisdiction. You must not be subject to any applicable sanctions, export controls, anti-money laundering restrictions, or other legal restrictions that would prohibit your use of the Service. By using the Service, you represent and warrant that you meet these requirements. Certain features of the Service may require invite-based access, account verification, or on-ledger party registration.

2. Non-Custodial Nature of the Service

Walley does not operate custodial accounts and does not hold, manage, or control your digital assets on your behalf. You retain sole custody and control of your wallet at all times. Walley cannot unilaterally access your funds, reverse transactions, or recover your wallet access. You are solely responsible for the security and use of your wallet.

3. Passkeys, Recovery Phrases, and Session Keys

You are solely responsible for securing your device, passkeys, recovery phrase, and active sessions.
  • Passkeys: Your passkey is a device-bound credential. Protect the device on which it is registered and do not allow unauthorized individuals to access that device.
  • Recovery Phrase: Your 24-word recovery phrase is the sole means of restoring wallet access if your passkey is unavailable. Never share your recovery phrase with anyone. Walley will never ask for it.
  • Loss of Access: If you lose access to both your passkey and your recovery phrase, your wallet access is permanently and irrecoverably lost. Walley has no mechanism to restore access in this scenario.
  • Session Keys: You are responsible for all actions taken using credentials in your active session. Do not leave active sessions unattended on shared or public devices.

4. Transaction Authorization and Finality

All transactions you approve through the Service are your responsibility. Once submitted to the ledger, transactions may be irreversible. Before submitting any transaction, you must:
  • Verify the counterparty address or identifier.
  • Confirm the asset type and amount.
  • Understand any smart contract interaction or delegation you are approving.
Walley is not liable for losses resulting from transactions you authorize, including those resulting from error, fraud, or misidentification of counterparties.

5. dApp Connections

The Service allows you to connect external decentralized applications (“dApps”) to your wallet. When you connect a dApp, you are extending trust to third-party software that Walley does not operate, audit, or control. Walley is not responsible for the security, content, terms, or behavior of any connected dApp. You use dApp connections at your own risk and are responsible for reviewing the terms and security posture of any third-party application you connect.

6. Automation Features

The Service includes automation features such as transfer pre-approval and merge delegation. Enabling these features may permit future transactions to execute without per-transaction confirmation from you. You are responsible for:
  • Understanding the scope and effect of any automation settings you enable.
  • Reviewing and monitoring your automation and delegation settings on an ongoing basis.
  • Revoking settings that no longer reflect your intentions.
Walley is not liable for transactions that execute pursuant to automation settings you have enabled.

7. API and SDK Access

If you access the Service through an API or SDK, you are responsible for:
  • Securing your development environment, API tokens, and session handling.
  • Ensuring your integration complies with applicable laws and these Terms.
  • Not abusing, circumventing, or interfering with platform protections, rate limits, or security controls.

8. Fees, Taxes, and Network Costs

You are responsible for all fees, network costs, gas, and similar charges associated with your use of the Service and the underlying ledger. You are also solely responsible for determining and satisfying any tax obligations arising from your use of the Service or from transactions you conduct.

9. Prohibited Conduct

You must not use the Service to:
  • Violate any applicable law or regulation.
  • Engage in fraud, market manipulation, or market abuse.
  • Conduct unauthorized access to, or interference with, any system, network, or data.
  • Facilitate sanctions evasion or other prohibited financial activity.
  • Interfere with the integrity, availability, or security of the Service.
  • Engage in any activity that harms other users or third parties.
Walley reserves the right to suspend or terminate your access if you engage in prohibited conduct.
Nothing in the Service or these Terms constitutes investment advice, legal advice, financial advice, or tax advice. You should consult qualified professionals before making decisions based on information available through the Service.

11. Privacy and Operational Data

Walley processes operational data — including request metadata, device and session context, and integration activity — as necessary to provide the Service and to protect against abuse. By using the Service, you agree to such processing. This processing is described in our Privacy Policy.

12. Service Availability and Modifications

Walley may modify, suspend, or discontinue the Service, or any part of it, at any time and without prior notice. Walley is not liable for any loss or inconvenience resulting from service interruptions or changes. We will endeavor to provide reasonable notice of material changes where practicable.

13. Intellectual Property

The Walley name, branding, interface, and underlying software are protected by intellectual property law and are owned by or licensed to Walley. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You must not copy, modify, distribute, or reverse-engineer any part of the Service.

14. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Walley disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Walley does not warrant that the Service will be uninterrupted, error-free, or secure.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Walley and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of digital assets, loss of data, loss of goodwill, or loss of opportunity, arising out of or in connection with your use of the Service — even if Walley has been advised of the possibility of such damages.

16. Indemnification

You agree to defend, indemnify, and hold harmless Walley and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with your misuse of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

17. Termination

Walley may suspend or limit your access to the Service at any time, with or without notice, for reasons including but not limited to security concerns, suspected prohibited conduct, or legal compliance requirements. Upon termination, your right to use the Service ceases immediately. Because the Service is non-custodial, your on-ledger assets remain accessible directly through the underlying network independent of your access to the Walley interface, provided you retain your credentials.

18. Changes to These Terms

Walley may update these Terms from time to time. When we do, we will post the revised Terms with an updated Last Updated date. Your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, stop using the Service.
